Terms of Service
Effective Date: November 28, 2025
Legal Entity: Online Fingerprint Authentication (Pty) Ltd ("Onfinga")
Jurisdiction: Republic of South Africa (with optional global jurisdiction clause)
1. Agreement to Terms
By registering for or using Onfinga’s services, you (“Merchant”, “you”, “your”) agree to be bound by these Terms of Service (“Terms”). These Terms form a legally binding agreement between you and Online Fingerprint Authentication (Pty) Ltd, a private company registered in South Africa.
If you are accepting these Terms on behalf of a company, you represent that you have authority to bind that company.
2. What Onfinga Does
Onfinga provides merchants with a verification layer that records customer approval of a transaction. Our services include:
- Biometric/passkey-based transaction verification
- Timestamped logs of consumer approvals
- APIs for initiating and retrieving verification results
- Delivery metadata capture (via Delivery Shield)
- Evidence packs to support fraud and chargeback disputes
Onfinga is not:
- A payment gateway
- A financial services provider (FSP)
- A processor or holder of card data
- A personal data marketplace
3. Merchant Responsibilities
By using Onfinga, you agree to:
- Use the service only for lawful and legitimate commercial transactions
- Maintain the security of your API keys and access credentials
- Notify consumers that an additional verification step is part of your checkout
- Comply with applicable data protection laws including: POPIA (South Africa); GDPR (European Union); CCPA (California, USA); ECTA and the CPA (South Africa)
- Provide accurate and truthful transaction metadata
- Ensure your product descriptions, pricing, and policies are current
- Maintain functional webhooks or endpoints for integration
4. Delivery Shield
If you submit delivery confirmation data (“Delivery Data”) via the optional Delivery Shield feature:
- You represent that you are legally entitled to share that data
- You retain ownership of all Delivery Data submitted
- Onfinga only stores Delivery Data to support dispute resolution and fraud prevention
- Onfinga will not use Delivery Data for any other purpose without your written consent
5. Data & Privacy
You retain control over the customer transaction metadata you provide. Onfinga only processes metadata; no personal customer data is collected by us. Onfinga is a POPIA “Operator” (data processor) in relation to consumer metadata. See our full Privacy Policy for more detail.
6. Billing & Fees
Billing Cycle
- You are billed weekly for successful verifications (“Approved Auths”).
- Verifications that are expired, failed, abandoned, or duplicated are not billed.
- Invoices are issued every 7 days and payable within 7 days of issue.
- Onfinga reserves the right to suspend service for overdue payments.
Refunds
- Onfinga does not offer refunds for completed verifications.
- You will not be charged for failed or unapproved attempts.
- If you believe you were incorrectly billed, contact billing@onfinga.net within 14 days.
7. Termination
You may terminate your account at any time via your dashboard or by contacting us in writing.
Onfinga may suspend or terminate your access if:
- You materially breach these Terms
- You fail to pay an invoice within the payment window
- We are legally required to do so
Upon termination, your historical records may be retained for up to 24 months for legal or compliance purposes.
8. Intellectual Property
Onfinga retains all ownership rights, title, and interest in:
- The platform, dashboard, and APIs
- Any software, scripts, designs, or documentation provided
- The structure and format of verification and delivery records
You may not reverse engineer, decompile, or duplicate our platform.
9. Liability & Warranties
No Warranty
Onfinga is provided “as is” and “as available”. We make no guarantees that:
- The service will be uninterrupted or error-free
- Dispute outcomes will always favor the merchant
- All fraud can be prevented
Limitation of Liability
To the maximum extent permitted by law:
- Onfinga’s total liability is capped at USD $100 or 1 month of fees paid, whichever is lower
- We are not liable for indirect, consequential, punitive, or incidental losses
- We do not assume liability for payment processor actions or customer conduct
10. Dispute Resolution & Jurisdiction
For South African Merchants:
Any disputes shall be subject to the jurisdiction of the Western Cape High Court.
For International Merchants:
Onfinga may elect to apply:
- The jurisdiction where the merchant is based, or
- A neutral international arbitration forum
Note: This clause helps merchants avoid conflicting legal exposure while preserving Onfinga’s ability to defend itself fairly.
11. Acceptable Use Policy (AUP)
You may not use Onfinga to:
- Validate illegal or deceptive transactions
- Circumvent payment verification procedures
- Interfere with or manipulate verification records
- Attempt to fake, falsify, or suppress dispute data
Onfinga reserves the right to suspend any account violating our AUP without notice.
12. Changes to These Terms
We may update these Terms periodically. We will notify merchants of material changes via email or via the dashboard. Continued use of the service after changes take effect constitutes acceptance.
